1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and DocuAce LLC, a Delaware limited liability company (“DocuAce,” “Company,” “we,” “us,” or “our”), governing your access to and use of the DocuAce platform, including the website located at docuace.com, all associated web applications, APIs, tools, and services (collectively, the “Service”).

By accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind such organization to these Terms.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

2. Definitions

For purposes of these Terms, the following definitions shall apply:

“Customs Data” means tariff rates, Harmonized Tariff Schedule (HTS) codes, trade remedy surcharges (including but not limited to Section 301, Section 232, Section 122, and IEEPA duties), de minimis thresholds, valuation methodologies, and any other trade compliance information provided through the Service.

“Classification Output” means any HTS code, tariff classification, duty rate estimate, or landed cost calculation generated by the Service, whether through AI-powered classification, manual lookup, or automated computation.

“User Content” means any data, documents, images, product descriptions, invoices, entry summaries, or other materials uploaded to or entered into the Service by a User.

“Refund Estimate” means any estimate of duties potentially recoverable under the International Emergency Economic Powers Act (IEEPA) or other tariff relief mechanisms generated by the Service.

3. Description of Services

DocuAce provides an informational platform that offers the following tools and features:

  1. Tariff Classification and Lookup: AI-powered and database-driven HTS code identification and duty rate estimation based on product descriptions, uploaded invoices, and manual code entry;
  2. Landed Cost Calculation: Estimation of total import costs including base duty, trade remedy surcharges (Sections 301, 232, and 122), merchandise processing fees, VAT/GST, and shipping costs across multiple destination countries;
  3. IEEPA Refund Estimation: Estimation of duties potentially recoverable following the Supreme Court’s ruling in Learning Resources Inc. v. Trump (2026), which invalidated IEEPA-based reciprocal tariffs;
  4. Document Analysis: AI-powered extraction of trade data from uploaded commercial invoices, CBP 7501 entry summaries, and related customs documents;
  5. Dashboard and History: Tools for tracking calculations, refund estimates, and filing statuses over time.

The Service is designed as a decision-support and estimation tool. It does not constitute, and shall not be construed as, the practice of customs brokerage, law, tax advice, or any other regulated professional service.

4. User Accounts and Registration

4.1 Account Creation

Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify DocuAce of any unauthorized use of your account or any other security breach. DocuAce will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4.3 Account Eligibility

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business entity, you represent that you are authorized to accept these Terms on behalf of such entity.

4.4 One Account Per User

Each User may maintain only one active account. DocuAce reserves the right to terminate duplicate accounts without notice.

5. Permitted and Prohibited Uses

5.1 Permitted Uses

You may use the Service for lawful purposes related to international trade, import compliance research, duty estimation, refund eligibility assessment, and internal business planning.

5.2 Prohibited Uses

You shall not use the Service to:

  1. Prepare, file, or submit any customs entry, post-summary correction (PSC), protest, or other filing with U.S. Customs and Border Protection (CBP) or any other governmental authority without independent verification by a licensed customs broker or qualified trade professional;
  2. Circumvent, evade, or facilitate the evasion of any import duties, tariffs, trade sanctions, export controls, anti-dumping orders, countervailing duty orders, or other trade laws of the United States or any foreign jurisdiction;
  3. Submit fraudulent, misleading, or materially inaccurate customs declarations based on Classification Outputs without independent professional verification;
  4. Access the Service through automated means (bots, scrapers, crawlers) except through our published API with valid authentication;
  5. Reverse engineer, decompile, or disassemble any portion of the Service;
  6. Resell, sublicense, or redistribute the Service or any data obtained from it without prior written consent from DocuAce;
  7. Attempt to gain unauthorized access to the Service, its servers, or any related systems or networks;
  8. Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of the Service.

6. Disclaimer — No Legal, Tax, or Customs Brokerage Advice

THE SERVICE DOES NOT PROVIDE AND SHALL NOT BE CONSTRUED AS PROVIDING LEGAL ADVICE, TAX ADVICE, FINANCIAL ADVICE, OR CUSTOMS BROKERAGE SERVICES. DOCUACE IS NOT A LAW FIRM, ACCOUNTING FIRM, OR LICENSED CUSTOMS BROKER.

All Customs Data, Classification Outputs, and Refund Estimates provided through the Service are for informational and estimation purposes only. They do not constitute professional opinions, and no attorney-client, broker-client, or other professional-client relationship is created by your use of the Service.

Before making any import compliance decisions, filing any customs entries or protests, or pursuing any duty refund claims, you must consult with a licensed customs broker (19 U.S.C. § 1641), a trade attorney admitted to the U.S. Court of International Trade, and/or a qualified tax professional, as appropriate to your specific circumstances.

The filing of customs entries, post-summary corrections, and protests with CBP requires a licensed customs broker pursuant to 19 C.F.R. Part 111. DocuAce does not hold a customs broker’s license and does not engage in customs brokerage as defined under federal law.

7. Accuracy of Tariff Data and Classifications

7.1 Data Sources

Customs Data presented through the Service is derived from publicly available sources, including but not limited to the U.S. International Trade Commission (USITC) Harmonized Tariff Schedule of the United States (HTSUS), Federal Register notices, CBP rulings, and published trade remedy determinations.

7.2 No Guarantee of Accuracy

While DocuAce endeavors to maintain accurate and current data, WE MAKE NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CUSTOMS DATA, CLASSIFICATION OUTPUT, OR REFUND ESTIMATE. Tariff rates, HTS classifications, trade remedy orders, and applicable surcharges are subject to frequent modification by the U.S. government and foreign governments, often with minimal advance notice.

7.3 HTS Classification Complexity

The classification of goods under the Harmonized Tariff Schedule is a complex legal determination governed by the General Rules of Interpretation (GRI), the Additional U.S. Rules of Interpretation, Section Notes, Chapter Notes, and a substantial body of administrative rulings and judicial precedent from the U.S. Court of International Trade and the U.S. Court of Appeals for the Federal Circuit. Automated classification tools, including AI-powered classifiers, cannot substitute for the professional judgment required by this analysis. Classification errors can result in substantial penalties, including under 19 U.S.C. § 1592 (penalties for fraud, gross negligence, or negligence).

7.4 Reasonable Care

Under 19 U.S.C. § 1484, importers of record are required to exercise “reasonable care” in classifying merchandise and determining applicable duty rates. Use of the Service alone does not satisfy the reasonable care standard. Importers must independently verify all classifications and duty determinations through qualified professionals and official sources.

8. IEEPA Refund Estimator Disclaimer

8.1 Nature of Estimates

The IEEPA Refund Estimator provides rough approximations of duties that may be recoverable following judicial invalidation of IEEPA-based tariff actions. These estimates are based on general tariff rate schedules and User-provided inputs. They do not account for the specific classification of your goods, exclusions that may have applied, compound or specific duty rates, foreign trade zone treatment, drawback claims, or other factors that materially affect actual duty liability.

8.2 Evolving Legal Landscape

The legal framework governing IEEPA tariff refunds is subject to ongoing litigation, legislative action, and administrative rulemaking. Refund eligibility, procedures, deadlines, and recoverable amounts may change materially. The Service’s estimates reflect our understanding of the law as of the date of calculation but do not account for subsequent legal developments.

8.3 No Guarantee of Refund

An estimate generated by the Service does not guarantee that you are entitled to a refund of any amount, that CBP will process any refund claim, or that your specific entries are eligible for relief. Refund recovery depends on numerous factors including entry liquidation status, protest filing deadlines (19 U.S.C. § 1514), applicable court orders, and the specific tariff provisions under which duties were assessed.

9. AI-Powered Classification

9.1 Nature of AI Output

The Service utilizes third-party artificial intelligence models to analyze product descriptions, images, and documents for the purpose of suggesting HTS classifications. AI-generated classifications are probabilistic suggestions, not deterministic legal conclusions. They may contain errors, hallucinations, or misinterpretations of product characteristics.

9.2 Human Review Required

All AI-generated classifications must be reviewed and verified by qualified personnel before being used in any customs filing, compliance determination, or business decision. Under no circumstances should an AI-generated classification be submitted to CBP or any other governmental authority without prior review by a licensed customs broker or trade professional.

9.3 Limitation on AI Outputs

DocuAce shall have no liability for any errors, penalties, loss of duties, or other damages resulting from reliance on AI-generated classifications or any other automated output of the Service.

10. Intellectual Property

10.1 Company IP

All content, software, algorithms, user interface designs, logos, trademarks, and proprietary technology comprising the Service are owned by or licensed to DocuAce LLC and are protected by U.S. and international copyright, trademark, patent, and trade secret laws. The “DocuAce” name and logo are trademarks of DocuAce LLC.

10.2 Public Domain Data

Tariff data sourced from the USITC Harmonized Tariff Schedule and other U.S. government publications is in the public domain pursuant to 17 U.S.C. § 105. DocuAce claims no intellectual property rights in the underlying tariff data itself, but does claim rights in its compilation, organization, presentation, and any value-added analysis thereof.

10.3 Limited License

Subject to your compliance with these Terms, DocuAce grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

11. User Content and Data

11.1 Ownership

You retain ownership of all User Content you submit to the Service. By submitting User Content, you grant DocuAce a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze such content solely for the purposes of providing the Service, improving classification accuracy, and generating aggregate anonymized analytics.

11.2 Confidentiality

DocuAce will treat your User Content (including uploaded invoices, entry summaries, and product data) as confidential and will not disclose it to third parties except as necessary to provide the Service (e.g., transmitting product descriptions to AI classification APIs), as required by applicable law, or with your express consent.

11.3 Data Accuracy

You are solely responsible for the accuracy and completeness of all User Content, including product descriptions, values, HTS codes, and country of origin information. Classification Outputs and calculations are only as accurate as the inputs you provide.

12. Third-Party Services and APIs

The Service integrates with and relies upon third-party services, including but not limited to Google Cloud AI (Gemini) for document analysis and classification, third-party exchange rate providers for currency conversion, and cloud hosting infrastructure providers. DocuAce is not responsible for the availability, accuracy, or reliability of any third-party service. Your use of the Service is also subject to the terms and policies of these third-party providers to the extent applicable.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOCUACE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY:

  1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  2. ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS;
  3. ANY DUTIES, TARIFFS, TAXES, PENALTIES, FINES, OR INTEREST ASSESSED BY CBP, THE INTERNAL REVENUE SERVICE, OR ANY OTHER GOVERNMENTAL AUTHORITY;
  4. ANY MISSED REFUND OPPORTUNITIES, EXPIRED PROTEST DEADLINES, OR FOREGONE DUTY RECOVERY;
  5. ANY COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  6. ANY ERRORS IN HTS CLASSIFICATION, DUTY RATE COMPUTATION, OR REFUND ESTIMATION;
  7. ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;

ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF DOCUACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF DOCUACE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DOCUACE FOR USE OF THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless DocuAce LLC and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

  1. Your use of the Service or any Classification Output, Refund Estimate, or other information obtained from the Service;
  2. Any customs filing, entry, protest, PSC, or other action taken based in whole or in part on information provided by the Service;
  3. Your violation of these Terms or any applicable law or regulation;
  4. Your violation of any third-party right, including any intellectual property right;
  5. Any dispute between you and any third party, including any customs broker, freight forwarder, or governmental authority, arising from your use of the Service.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DOCUACE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, DOCUACE DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE CUSTOMS DATA, CLASSIFICATION OUTPUTS, OR REFUND ESTIMATES WILL BE ACCURATE, COMPLETE, OR CURRENT; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, SOFTWARE, OR NETWORK CONFIGURATION.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

16.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, before a single arbitrator. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against DocuAce.

16.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17. Modification of Terms

DocuAce reserves the right to modify these Terms at any time. Material changes will be communicated to registered Users via email or through a prominent notice on the Service at least thirty (30) days prior to the effective date of such changes. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service.

18. Termination

18.1 By You

You may terminate your account at any time by contacting us at support@docuace.com. Upon termination, your right to access the Service will cease immediately.

18.2 By DocuAce

DocuAce may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent activity, extended periods of inactivity, or discontinuation of the Service.

18.3 Effect of Termination

Upon termination, Sections 6 (Disclaimer), 10 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 15 (Disclaimer of Warranties), and 16 (Governing Law and Dispute Resolution) shall survive and remain in full force and effect.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

20. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and DocuAce with respect to your use of the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
